GENERAL SALES CONDITIONS 1. GENERAL CONDITIONS 1.1 Present general conditions govern every contract concluded with CMG S.r.l. (hereinafter called ‘CMG’ or ‘Vendor’). Any possible modification, even partial, will need to result in writing.
2. VALIDITY OF SALES PROPOSALS 2.1 Every sales proposal (offer/quotation) formulated by the Vendor will have a validity of 30 days from date of emission; after expiration of which and in absence of acceptance by the Buyer, it will automatically loose its validity.
3. CONCLUSION OF THE CONTRACT 3.1 The contract will only be regarded as concluded at the moment of receipt by CMG of the sales proposal as emitted by CMG, duly signed for acceptance by the Buyer. Should however the order originate from the Buyer, the contract will be regarded as concluded the moment latter receives the written acceptance from the Vendor, known as Order Confirmation. 3.2 Any acceptance not integrally conform to a sales proposal and/or order will be regarded as a new proposal or order. 3.3 The order from a Buyer that needs simple and/or necessary specifications with regards to the exact description of the product as ordered (hereinafter called ‘Product’), or the possible signature for acceptance of the general conditions, shall in any case be considered as a binding acquisition by same Buyer. In such a case, the Order Confirmation, issued by the Vendor containing the necessary clarifications, will have to be returned within 15 days duly counter-signed for acceptance by Buyer, solely with the scope to avoid any incorrect interpretation with regards to the course of the contractual relationship. 3.4 Delivery of the Product will be considered to have been contractually effected upon ‘placing at disposal’ of the Buyer. 3.5 Possible modifications to a concluded contract will need to be agreed upon by both parties exclusively in writing.
4. INFORMATION BY MEANS OF PRICE LISTS, CATALOGUES AND ANY OTHER MARKETING MATERIAL 4.1 Price lists, catalogues and any other marketing material only constitute an indication of applicable prices and product type information and as such are not binding for the Vendor.
4.2 All indications/information as provided by aforementioned documentation are given with due diligence and in good faith, however possible errors or omissions contained in same do not constitute any liability for the Vendor.
5. PRICE 5.1 Unless otherwise indicated, contractual prices are intended EXW (Incoterms 2010) CMG S.r.l. – Olgiate Olona - VA - Italy, excluding packaging cost. 6. INVOICE CURRENCY 6.1 Unless otherwise stated, the prices indicated in whatever document and/or correspondence originating from the Vendor are intended in EURO, excluding VAT (Value Added Tax) and any other possible tax, excise or levy. 7. PAYMENT CONDITIONS 7.1 The price shall be paid as follows: a) 20% with the order; b) 80% prior to shipment. 8. ACCEPTANCE TRIALS 8.1 Acceptance trials of the product shall be effected at CMG on a date to be communicated to the Buyer with sufficient notice to enable his personnel to be present (all costs are at Buyer’s charge). The acceptance trials will be regarded successful if and when: a) the Buyer or his personnel, present during the trials, do not specify any reservations on the acceptance protocol in terms of possible defects, or, b) the Buyer declares not to want to assist at the trials, or, in any case, is not present during the trials, and CMG personnel do not specify any reservations on the acceptance protocol in terms of possible defects. In case of negative acceptance trials, CMG will remedy the defects as specified in the acceptance protocol. If the modifications to the product to render same regular are important, the acceptance trials may be repeated with the scope to verify the elimination of the defects as specified in the acceptance protocol. The delivery time will be considered prolonged by a period equal to that necessary to effect the remedies, or in case of a repeated trial, a period equal to the one between the first and consecutive acceptance trials. Being a mere technical execution to guarantee the quality of the product, the acceptance trial shall not constitute delivery of the Product. 9. DELIVERY 9.1 The delivery time shall initiate the moment the down-payment has been received and delivery will be intended as effected (by all effects of legislation, risks included) at CMG with the disposal to the Buyer or to the forwarder or haulage company. 9.2 In case the Buyer does not uplift the Product within 30 days of the disposal - terms considered as mutually agreed - the contract will be regarded as dissolved. In any case the Buyer will be responsible for the daily storing cost of ITL 968.135 (Euro 500). 10 INSTALLATION 10.1 The Vendor may assume responsibility for the installation of the Product, but this duty is not an instrumental element for the conclusion of the sales contract.

10.2 In that case the Buyer shall inform the Vendor within 30 days from the acceptance trials, of the existence of the necessary conditions for installation. 10.3 The Vendor will effect installation with his own personnel and with the supervision of his own specialised technicians, charging the Buyer the relative cost according the valid ASSOCOMAPLAST rates. 10.4 The installation cost may contractually be included in the sales price, however this agreement does not constitute a deviation from the moment of delivery as has been initially agreed.
11 TECHNICAL ASSISTANCE AND OPERATOR TRAINING 11.1 At the conclusion of the sale, upon specific request from the Buyer, the Vendor may be charged with the training of the operator(s) of the Buyer with regards to the use of the Product and its correct maintenance. This training can be effected at Buyer’s site but in this case the time spent by the technicians dispatched by the Vendor shall not exceed 7 days. The daily cost of this service shall be determined on the basis of the valid ASSOCOMOPLAST rates and also all travel and lodging expenses of this personnel shall be reimbursed by the Buyer. 11.2 The Vendor will consequently be available to furnish recommendations and information by means of remote technical assistance but, should this technical assistance result to be insufficient, the Vendor will be obliged to effect specific interventions upon written request of the Buyer and at the conditions as stated under 11.1. 12 GUARANTEE 12.1 The Vendor warrantees the product for a period of 12 months after delivery date. Within this scope the Vendor takes it upon him to replace and/or repair single components free of charge if and when functional defects from the source are encountered, where the cost of shipping and the cost of labour and travel and lodging expenses of the technician(s) will be charged to the Buyer. 12.2 The warranty is void in case the Product will be repaired by un-authorised third parties, in case tools and accessories not approved by CMG are being used or/and non Vendor-approved modifications are being effected. 12.3 The warranty is void in case of damage due to carelessness, negligence in usage, use of products non conform to the characteristics as stipulated in the manual or any other circumstance beyond Vendor’s control. 12.4 The Vendor shall not be held responsible for any other than previewed in the preceding articles and specifically remains excluded from all and any claims for personal and material damage resulting from the use or miss-use of the product and/or resulting from consequential losses. 13. FORCE MAJEUR 13.1 Whenever a party shall not be able to execute the contract for any reason not previewed or not previewable at the time of stipulation of the contract, independently of own free will and of which immediate prove shall be given, same party may suspend the execution of the contract until the ending of the cause of the force major, of which immediate notification shall be given to the other party by registered letter with advise of receipt. It remains understood that upon termination of the force major circumstances, the suspended execution shall have to be executed. 14 TITLE TO THE PRODUCT 14.1 In case payment terms different from those stipulated as per article 7 are agreed upon, it is explicitly agreed that the sale is effected with retention of title to the Product to the Vendor until full settlement of the agreed sales price. Any relative risks will remain however with the Buyer from delivery onwards. Until passing of title to the product the Buyer cannot alienate or otherwise dispose of the Product without the written consent of the Vendor. 15 CONFIDENTIALITY 15.1 All information of technical, commercial and economical nature of which the Parties have come to knowledge at conclusion of the contract shall remain strictly confidential. The Parties will engage in any means to avoid disclosure of any of same. 16 WRITTEN FORM 16.1 In repetition of what has been already stipulated afore, it is established that any and all covenants relative to present contract shall be exclusively concluded and/or approved in writing - also per fax - under penalty of nullification. 17. APPLICABLE LAW AND MEANS OF RESOLVING DISPUTES 17.1 The contract in all effect is governed by Italian law and any dispute shall as a consequence be submitted to the competent judge within the area of jurisdiction of the Vendor. 17.2 The Vendor, at his own discretion, may forgo the competence of Italian legislation and the jurisdiction as previewed above, to act in judgement against the Buyer according the regulations of reconciliation and arbitration of the International Chamber of Commerce in Paris, calling upon three arbitrators nominated conform the aforementioned regulations. The arbitration college will judge according the Lex Mercatoria. Place of arbitration shall be the seat of same CCI: 38, Cours Albert I - 75008 Paris - France; phone: 0033 - 1 - 495 329 4541; fax: 0033 - 1 - 495 329 33. The language of arbitration shall be English. 17.3 In case of doubt the original Italian text will prevail.
